THUNDER BAY, ONTARIO–(Marketwire – April 26, 2012) – QRS Capital Corp. (“QRS” or the “Company“) (TSX VENTURE:QRS) announces that, further to its press release dated April 2, 2012, in connection with its previously announced non-brokered private placement, QRS intends to issue up to 11,250,000 units (the “Units“) to subscribers resident in Canada and certain offshore jurisdictions at a price of $0.40 per Unit (the “Offering“). Each Unit will consist of one common share and one half of one common share purchase warrant (each whole warrant, a “Warrant“). Each such Warrant will entitle the holder to purchase one common share of the Company at a price of $0.70 per common share for a period of 24 months from the closing date of the Offering. Securities issued under the Offering will be subject to a four month hold period which will expire four months from the date of closing.


In connection with the Private Placement, QRS may pay a finder’s fee, payable in cash, to certain arm’s length parties in an amount equal to 7% of the aggregate gross proceeds raised under the Private Placement from subscribers introduced to the Company by such parties, and may issue finder’s warrants equal to 7% of the aggregate number of Units sold to subscribers introduced to the Company by such parties. Each finder warrant will entitle the holder to purchase one common share of the Company at a price of $0.40 per common share for a period of 24 months from the closing date of the Offering. In addition, the Company may also pay, in accordance with the rules of the TSX Venture Exchange, a success fee, payable in Units, to certain arm’s length parties in an amount equal to 3% of the number of Units sold under the Offering.


The Offering is subject to acceptance by the TSX Venture Exchange and other customary conditions for transactions of this nature. The net proceeds from the Offering will be used to continue the mineral exploration activities of the Company and for general working capital purposes.
