Kootenay Silver Inc. (TSX VENTURE: KTN.V) ("Kootenay") is pleased to announce a non-brokered private placement (the "Private Placement") of up to 2.9 million units (each "Unit") at a purchase price of $0.35 per Unit, for aggregate gross proceeds to Kootenay of up to $1,000,000.
States Kootenay President and CEO James McDonald "These funds will strengthen our treasury and allow us to move confidently ahead with a follow up drill program at La Negra early in the New Year, with the objective of producing an inaugural NI 43-101 resource estimate on the project by mid-2015. We are excited to continue testing both the high silver grades and wide widths returned from the recent La Negra drill program."
Private Placement
Each Unit will consist of one common share ("Common Share") of Kootenay and one transferable share purchase warrant ("Warrant"). Each whole Warrant will entitle the holder to acquire one Common Share at an exercise price of $0.60 for a period of 24 months from the closing date of the Private Placement. Cash finder's fees may be paid in connection with the Private Placement.
All of the securities issued pursuant to the Private Placement will be subject to a minimum four-month hold period. The Private Placement and payment of any finder's fee are subject to acceptance by the TSX Venture Exchange. The net proceeds from the Private Placement will be used to finance additional work on Kootenay's Promontorio property, which includes the new La Negra Breccia discovery, its other properties and for general working capital.
La Negra Silver Discovery
The La Negra Breccia discovery is situated approx. 6.5 kms north of Kootenay's flagship Promontorio Silver Resource in Sonora, Mexico and is contained within a 25 x 15 km mineralized corridor, the 'Promontorio Mineral Belt.' The recently completed Phase I drill program on La Negra follows a highly successful trenching and surface sampling program that confirmed widespread silver mineralization exists over a large 100 to 200 meters by 500 meters area on surface. The Phase I drill program on La Negra returned significant intervals and high grades of widespread silver mineralization extending from surface to depth, confirming a substantial new silver discovery.
