IMPACT Silver Corp. (“IMPACT” or the “Company”) is pleased to announce that it has completed the first series of the third tranche (the “Third Tranche”) of the non-brokered private placement originally announced on June 19, 2019 and subsequently updated on July 8, 2019, July 18, 2019 and July 25, 2019 (the “Private Placement”). At closing of the Third Tranche, the Company received aggregate gross proceeds of $2,445,790.11 from the issuance of 8,433,759 units (the “Units”) of the Company at a price of $0.29. Each Unit will comprise one common share in the capital of the company (each a “Share”) and one common share purchase warrant (each a “Warrant”). Each Warrant entitles the holder to acquire one Share at a price of $0.385 and expires in 36 months from the date of closing. All securities issued under the Private Placement will be subject to a hold period expiring four months and one day from the applicable closing date.
The Company intends to complete a second series of the third tranche of the Private Placement of up to 1,911,069 units on the same terms as those securities described above, for additional gross proceeds of up to $554,210. The Company intends to close the second series of the third tranche of the Private Placement by August 9, 2019.
In consideration for their services, the Company has paid a finders fee to Canaccord Genuity Corp. in the amount of $49,998.90, INFOR Financial Inc. for $55,999.99. Such cash commissions equal 7% of the gross subscription proceeds raised from certain subscribers in the Private Placement.
The Private Placement is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory approvals, including final acceptance of the TSX Venture Exchange.
