VANCOUVER, Aug. 28, 2015 (Canada NewsWire via COMTEX) — Goldgroup Mining Inc. ("Goldgroup" or the "Company") (GGA) GGAZF, -13.33% (bmv six:GGAN.MX) has issued 16,500,000 common shares to Oroco Resource Corp. ("Oroco") with respect to the acquisition of the Cerro Prieto project purchased in 2013 (see news release dated September 3, 2013). As part of the purchase agreement, the Company committed to issue 16,500,000 of its common shares or, at its option, pay US$4,125,000 to Oroco on or before August 30, 2015. The Company has elected to issue the common shares as opposed to cash settlement.

The Company also has two other promissory notes (see news release dated June 2, 2015) issued by Oroco, with the principal of US$250,000 (due on demand) and US$750,000 (due on September 15, 2015). Oroco has now demanded payment on the US$250,000 promissory note, which is now due and is currently under negotiations for final resolution.

Both promissory notes bear 8% annual interest, payable monthly in arrears.
