Esperanza Resources Corp. (TSX VENTURE:EPZ) (“Esperanza” or the “Company) is pleased to announce that it has obtained a receipt (the “Receipt”) for its final short form prospectus (the “Prospectus”) filed in each of the provinces of Canada, except Quebec.


The Prospectus qualifies the distribution of 27,214,700 units (the “Units”) of the Company issuable upon the automatic exercise of 27,214,700 previously issued special warrants (the “Special Warrants”). Each Unit consists of one common share (each, a “Common Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”) of the Company. Each Warrant entitles the holder to acquire one Common Share at a price of C$1.80 per share until May 24, 2017. As previously announced the Special Warrants were issued on a private placement basis (the “Offering”) through a syndicate of agents co-led by Cormark Securities Inc. and National Bank Financial Inc. and including Canaccord Genuity Corp. and Stonecap Securities Inc. The Offering closed on May 24, 2012 for total gross proceeds to the Company of approximately C$34 million. The Special Warrants will be deemed to be exercised at 4:59 p.m. (Vancouver time) on June 25, 2012, being the third business day following the date of the Receipt. The TSX Venture Exchange (the “TSX-V”) has conditionally approved the listing of the Warrants. Listing of the Warrants is subject to the Company fulfilling all of the listing requirements of the TSX-V.
