VANCOUVER, BRITISH COLUMBIA, Mar 22, 2012 (MARKETWIRE via COMTEX) — Baja Mining Corp. (otcqx:BAJFF) today commented on a report issued by Institutional Shareholder Services(i) (ISS) regarding the proxy contest initiated by dissident shareholder Mount Kellett Master Fund II A LP. A Baja shareholders’ special meeting requisitioned by Mount Kellett is scheduled for April 3, 2012.
“We disagree with ISS’ support for Mount Kellett’s Managing Director Stephen Lehner as a member of Baja’s Board,” said Giles Baynham, Chairman of Baja. “Unfortunately, ISS has ignored Mr. Lehner’s lack of qualifications, his conflict of interest, the danger that Mount Kellett poses to Baja’s other shareholders and Mount Kellett’s shameful conduct during this proxy contest.”
ISS, despite its recommendation, correctly observes that there is no merit to Mount Kellett’s position that the Baja Board may be pursuing a related-party transaction with Catalyst Copper. ISS, also correctly in Baja’s view, opposes Mount Kellett’s proposal to remove two incumbent Baja directors.
However, the ISS report gravely underestimates the risk of placing Mount Kellett’s Managing Director on the Board. Baja believes Mr. Lehner’s presence on the Board may jeopardize the continued swift and effective execution of Baja’s strategic plan to bring the Boleo Project into production in 2013.
Baja invites shareholders to review Baja’s written submissions to ISS, which are dated March 13, 2012 and March 17, 2012. The submissions show that Baja has delivered solid Board performance, and has otherwise met ISS’ criteria for support in this proxy contest. The submissions, which also comment on Mount Kellett’s conduct and its objective of controlling Baja, have been posted to http://www.bajamining.com/proxycontest .
Given Mount Kellett’s 19.9% ownership, the outcome of the proxy contest will be close, so every vote will count. Shareholders who have not yet voted their GOLD proxy should do so immediately. Even if a shareholder previously voted a blue proxy, a later-dated GOLD proxy will cancel the earlier vote.
Voting Instructions
Baja urges shareholders to vote only the GOLD proxy AGAINST Mount Kellett’s director removal resolution, and AGAINST Mount Kellett’s Board expansion resolution. Vote WITHHOLD for the two Mount Kellett nominees to the Board, Stephen Lehner (the managing director of Mount Kellett) and Lorie Waisberg. Shareholders should discard any blue proxy they may receive and should vote only their GOLD proxy well in advance of the proxy voting deadline of March 30, 2012 at 10:00 a.m. (Vancouver Time).
