Greg Myers, CEO and President of Caza Gold Corp. (TSX VENTURE:CZY)(OTCQX:CZGDF)(FRANKFURT:CZ6) is pleased to announce that Caza Gold has arranged a non-brokered private placement equity financing of up to $500,000 (the “Offering”).
The private placement consists of up to 5 million units priced at CA$0.10 per unit, with each unit comprised of one common share and one-half common share purchase warrant. Each full warrant is exercisable to acquire one common share at an exercise price of CAD$0.20 for a period of 2 years from the closing date. A finders’ fee of up to 8% in cash and/or in finder’s fee warrants may be applicable to portions of the private placement.
All securities issued in connection with the Offering will be subject to a four-month plus one day hold period. Completion of the Offering is subject to a number of conditions including receipt of all necessary regulatory approvals.
The proceeds from the unit private placement will be used for working capital purposes. These securities being offered have not been, and will not be, registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”) and may not be offered or sold in the United States or to, or for the benefit of, U.S. persons (as defined in Regulation S under the U.S. Securities Act) absent U.S. registration or an applicable exemption from the U.S. registration requirements.
